1. Confidentiality
This relationship, as well as all information (documented or verbal) shared as part of this relationship, is bound by the principles of confidentiality.
Confidential Information
does not include information that: (a) was in Unblinded’s possession prior to its being furnished by the User; (b) is generally known to the public or in the User’s industry; (c) is obtained by Unblinded from a third party, without breach of any obligation to the User; (d) is independently developed by the Unblinded without use of or reference to the User’s confidential information; (e) Unblinded is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to Unblinded and as a result of such disclosure Unblinded reasonably believes there to be an imminent or likely risk of danger or harm to the User or others; or (g) involves illegal activity. The User also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with Unblinded in a timely manner.
Similarly, the User agrees that his/her work with the Company may result in him/her coming into close contact with many of the Company’s customers, customer prospects, trade secrets, proprietary rights, and confidential information. As such, User agrees that he/she shall not, now or at any point in the future, directly or indirectly disclose, divulge, or otherwise make use of any customers, customer prospects, trade secrets, proprietary rights, and confidential information of the Company for any and all purposes without the prior written consent of the Company. User further agrees that the covenants contained herein are reasonable and necessary to protect the Company’s legitimate business interests and its customer, customer prospect, trade secrets, proprietary rights, and confidential information.
2. Intellectual Property and Proprietary Rights
User acknowledges any and all information and materials provided by the Company constitute commercially valuable, proprietary, confidential property of Unblinded, the design and development of which required the investment of substantial effort, time, and money.
User understands that all ownership rights in any such information and materials are expressly reserved by Unblinded. User agrees and confirms that he/she will not reproduce, copy or otherwise duplicate, make derivative works of, distribute, lend or otherwise transfer, any information/materials provided without the prior written permission of Unblinded, nor will User assist or enable any other person or organization in so doing. User agrees and confirms that he/she will not use the information/materials in any way that would interfere with and weaken the confidential and exclusive ownership of Unblinded in and to the information/materials.
User understands that the information/materials presented by Unblinded are intended solely for use by User and are provided solely on the basis that you will only use the information/materials for your personal use. User understands that while you are free to use the information/materials for your own personal use, and free to tell others about the benefits you realized from such information/materials, you agree and confirm that you will not use the information/materials for any purpose other than your own personal use except with the prior written permission of Unblinded.
User further understands that any materials provided to you are copyrighted and may not be reproduced in any form, or by any means, without the express written consent of Unblinded. User agrees and confirms that he/she will not reproduce, republish, display, perform, distribute, modify, transmit, reuse, re-post, or use the content of any materials for public or commercial purposes without the express written consent of Unblinded. User agrees not to deliver the materials, whether in the original or reproduced or modified form, or anything borrowed or copied from the materials, by any means, including, without limitation, orally, in writing or digitally, or as part of any seminar, training program, workshop, consulting, or other business activity and irrespective of whether and to what degree any such portion of the materials is protected by relevant intellectual property law. The trademarks, logos, and service marks (collectively “Trademarks”) displayed on any materials are registered and unregistered Trademarks of Unblinded and other third parties that have authorized the use of such Trademarks. Nothing contained in the materials should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark without the express written consent of Unblinded or the appropriate third party. User’s use of the Trademarks displayed on any materials, or any other content, except as provided in these terms and conditions, is strictly prohibited.
3. Release of Information
From time to time, the Company may share certain information (including phone number, email address, etc.) with its affiliated entities. Notwithstanding anything contained herein to the contrary, and absent a specific opt-out request by User, the Company shall not be prohibited from sharing User’s information with third parties for purposes of identifying additional products/services that may be of interest/service to User. As such, User consents to the sharing of its information with third parties and further to be contacted by such third parties. If User wants to opt-out of the Company’s information sharing, please submit your request in writing to

4. Media Release
User hereby grants to Unblinded the absolute and irrevocable right and unrestricted permission to use his/her name, image, voice, and/or appearance as such may be embodied in any photos, video recordings, audiotapes, digital images, and the like, taken or made on behalf of Unblinded or its partners. These uses include, but are not limited to, video, publications, advertisements, news releases, websites, and any promotional or educational materials in any medium. User acknowledges that he/she will not receive any compensation for the use of such images, videos, likeness, etc.
User hereby releases and discharges Unblinded, and its agents, representatives and assignees from any and all claims and demands arising out of or in connection with the use of User’s name, likeness, image, voice and/or appearance, include any and all claims for invasion of privacy, right of publicity, misappropriation or misuse of image, and/or defamation.
User represents that he/she is over the age of eighteen (18) years and that he/she has read the foregoing and fully understand its contents.
